TA Associates has agreed to become the anchor shareholder of Alloheim Group, the German elder-care operator with more than 320 senior residences and about 30,000 employees, in a transaction expected to close in the first quarter of 2027.
Nordic Capital, which has backed Alloheim since 2018, will sell its entire holding when the transaction closes. The companies did not disclose a purchase price in their October 26 announcement.
The deal is not yet complete. It remains subject to customary regulatory approvals, including merger-control clearance.
Alloheim said its strategy, management and operating direction will remain unchanged under the new ownership. The company also said local management teams and points of contact will stay in place.
The group operates more than 30,000 residential care beds, more than 4,500 assisted-living apartments, 112 assisted-living locations and 36 outpatient care services across Germany. Its services extend beyond care for older adults to specialized care for young adults, patients with psychiatric needs and people in a persistent vegetative state.
Alloheim said it has integrated more than 160 facilities since 2018, including more than 30 in its most recent acquisitions. Its workforce more than doubled over that period, according to the announcement.
The portfolio includes Alloheim Senioren-Residenzen and operations under the CMS Group, Itertalklinik Seniorenzentren, Pro Talis, ProCurand, Integra and Katharinenhof brands.
TA, a private-equity investor focused on healthcare, technology, business services and financial services, said it will support Alloheim’s growth. Nordic Capital will remain the existing shareholder until the transaction closes.
