Broadridge said Monday, November 2, that it plans to provide on-chain shareholder governance and digital transfer agency services for the New York Stock Exchange’s planned tokenized-securities platform, bringing proxy voting and issuer services into the exchange’s digital-stock project.
The platform is not live. In its announcement, Broadridge said the NYSE platform is scheduled to launch following regulatory approval. The announcement did not give a launch date or say that approval had been granted.
The planned integration addresses what happens after an investor acquires a tokenized share: how that ownership connects to shareholder communications, voting eligibility and the services a public company uses to maintain its stockholder records. Digital trading alone does not supply those connections.
Under the plan, NYSE will use Broadridge’s governance smart contracts to connect tokenized securities with meeting agendas, voting rules and verifiable results. The framework also supports distributing proxy materials and authenticating digital wallets against verified voting entitlements, according to Broadridge.
Investors would be able to use the on-chain governance services through supported wallets, broker interfaces or ProxyVote. Those access routes are part of the proposed service, not a statement that every wallet or every tokenized stock product is supported.
Connecting stock ownership with shareholder rights
“Broadridge is building the governance layer for tokenized equities, ensuring investors have access to trusted, institutional-grade governance,” Broadridge Chief Executive Tim Gokey said in the announcement. He said the company is bringing digital and traditional transfer agency services together with proxy voting so issuers can participate regardless of how shares are traded or held.
The digital transfer agency integration would enable NYSE-listed companies to tokenize their stock for trading on the planned platform, Broadridge said. It is intended to connect the issuer-facing services behind a stock with the digital infrastructure used to trade it.
“Tokenization has the potential to transform the manner in which issuers interact with their shareholders,” NYSE Group President Lynn Martin said. She described the partnership as a step toward connecting tokenized trading, clearing and shareholder governance.
The companies are describing infrastructure to support tokenized ownership, rather than announcing that investors can begin trading on the venue today. Regulatory approval and the platform’s launch remain the conditions to watch.
