CVS Health is exploring a breakup that could separate its retail pharmacy chain from its insurance business, the Financial Times reported Tuesday, according to Reuters. The discussions remain at an early stage, and no final decision has been made.
The report, citing people familiar with the matter, points to a possible reversal of part of the healthcare conglomerate built through years of acquisitions. CVS did not immediately respond to Reuters’ request for comment, the news agency said in its Tuesday report.
A possible separate listing for the stores
One structure under discussion would leave the Aetna insurance business alongside the Caremark pharmacy benefits division while making the retail pharmacy business a separately listed company, according to the Financial Times account described by Bloomberg News. That is a reported proposal, not an announced transaction.
Bloomberg’s account of the FT report said CVS could announce a plan as soon as Wednesday with quarterly earnings, but that both the structure and the timing could change. Reuters emphasized that the talks are preliminary and that no final decision has been reached.
The distinction between the businesses is important: under the reported structure, separating retail stores would not mean splitting Aetna from Caremark. The insurer and pharmacy benefits operation would remain together, while investors would hold a separately traded retail pharmacy business if that proposal went forward.
A potential turn away from the acquisition strategy
CVS bought Aetna in 2018 for about $78 billion, Reuters reported. A separation of the retail chain from insurance would therefore unwind part of the combination that brought those operations into one group.
For now, the reports describe internal deliberations rather than a completed split, an approved timetable or final terms for shareholders. They do not establish that stores, insurance coverage or pharmacy benefits will change immediately.
The next confirmed step would need to come from CVS itself. Until the company announces a decision, the potential breakup remains a reported option under consideration, with its final shape and timing unresolved.
