Acuity has agreed to acquire Parameter Technologies for $675 million, expanding its business in systems that detect leaks and monitor conditions in data centers and other critical infrastructure.
The Atlanta-based industrial technology company announced the definitive agreement Monday. It expects the transaction to close in the second quarter of its fiscal 2027, subject to customary closing conditions, including expiration of the waiting period under the Hart-Scott-Rodino antitrust law.
Parameter provides leak detection, environmental monitoring and battery monitoring through its RLE Technologies and CellWatch brands. The company is based in Fort Collins, Colorado, with engineering and service operations in Raleigh, North Carolina, and sales and service capabilities in Milton Keynes, United Kingdom.
After closing, Parameter would become part of Distech Controls within Acuity Intelligent Spaces. Acuity said the businesses share sales channels, including system integrators and distributors, and that Parameter would add relationships with cooling-equipment manufacturers.
The deal targets monitoring needs as data centers adopt liquid-cooling systems. Parameter’s location-specific leak detection is designed to help operators find problems before they damage equipment or interrupt operations.
Acuity plans to fund the acquisition with $500 million in borrowings and the balance from cash on hand. PJT Partners is its financial adviser, Baker McKenzie is providing outside legal counsel, and J.P. Morgan and Bank of America are leading the financing.
The agreement is an announced acquisition, not a completed transaction. The purchase price and financing plans come from Acuity’s October 26 announcement.
