ADT agreed to be acquired by Thrive Holdings in an all-cash deal valued at approximately $15.3 billion including debt, the home-security company announced earlier Thursday. The agreement would take ADT private, but the acquisition has not closed.

Shareholders would receive $10 a share in cash under the agreement, which ADT’s board unanimously approved. That represents a 45.6% premium to the company’s $6.87 closing share price on October 27. The transaction’s equity value is approximately $7.6 billion, distinct from its $15.3 billion enterprise value.

The companies expect the deal to close in the first quarter of 2027, subject to ADT shareholder approval, U.S. antitrust approval and other customary conditions. Until then, ADT will continue operating independently. Its shares would stop trading on the New York Stock Exchange only after completion.

For households and small businesses using ADT, the company said its data-protection and privacy policies will remain unchanged and that no new data sharing will occur without customer permission. The announcement does not promise lower subscription prices or changes to existing customer contracts.

Funds managed by affiliates of Apollo Global Management have solely provided financing commitments for the transaction. The agreement is not subject to a financing condition, ADT said.

ADT also has a 30-day period to solicit competing proposals, ending at 11:59 p.m. New York time on November 28, with a possible 10-day extension for certain bidders. The company cautioned that the process might not produce a superior offer.

Thrive Holdings said it plans to invest in ADT’s people, products and services, with its engineering teams working alongside ADT employees. Those are the buyer’s stated plans, not completed operational changes.
