Israel Aerospace Industries and ELTA approved a merger agreement Wednesday that would transfer ELTA’s assets and liabilities into its parent company, subject to government, tax and employee-related conditions.

The two boards approved the transaction and the companies signed the agreement, IAI said in an October 28 filing to the Tel Aviv Stock Exchange. Completion would move all of ELTA’s assets and liabilities to IAI without monetary consideration.

ELTA would cease to exist as a separate legal entity without liquidation once the merger is completed, and the Companies Registrar would remove it from the register. The agreement is not itself completion of that process.

A worker agreement remains a condition

Among the conditions is a collective agreement transferring ELTA employees to IAI while preserving continuity of their rights. The filing makes that agreement a requirement, not an arrangement already concluded.

The companies also need a tax ruling treating the merger as tax-exempt, any required approvals from the Israeli state and relevant authorities, and third-party consents for transferring agreements, assets or activities. A small, immaterial minority of missing third-party consents would not prevent completion under the stated terms.

Other conditions include completing the steps required by Israeli company law and the absence, at completion, of a law, court order or instruction from a competent authority that blocks the merger.

Deadline does not guarantee completion

The conditions are to be met by December 31, 2027, or a later date agreed between the parties. IAI cautioned that the merger’s terms and completion remain forward-looking and depend on approvals outside its sole control.

A follow-up filing said the merger proposal had not yet been submitted to the Companies Registrar. Wednesday’s board decisions therefore begin another stage of the transaction rather than marking a completed combination.
