MasTec is suspending late-stage negotiations for a large acquisition to give priority to buying back its own shares, the infrastructure contractor said Thursday. The company said the entire $250 million under an existing board repurchase authorization remains available.
The announcement is a shift in how MasTec plans to allocate capital, not the cancellation of a signed acquisition or the creation of a new buyback authorization. The company did not name the acquisition target, disclose a proposed purchase price or announce that it had bought shares Thursday.
Acquisition talks paused, not permanently ruled out
In a company release distributed by Business Wire and carried by TMCnet and Market Newsdesk, MasTec described the potential acquisition as large and “potentially accretive.” That is the company’s assessment of the opportunity, not a disclosed forecast of earnings benefits.
MasTec left open the possibility of resuming negotiations if conditions warrant. The release did not give a timetable for restarting talks or identify what would need to change before they resume.
The $250 million is permission, not a spending commitment
The board authorization gives MasTec room to repurchase shares, but it does not require the company to spend a specified amount in any period. MasTec said it can modify or suspend the program at its discretion.
Actual purchases will depend on market conditions, legal and regulatory requirements, cash flow, liquidity needs, acquisitions, capital spending and other factors. Repurchases would be funded with cash on hand and availability under MasTec’s revolving credit facility, the company said. A revolver is a source of borrowing capacity, not the same thing as cash already spent.
Purchases could take place in the open market or through private transactions. MasTec also listed derivative contracts, structured repurchase agreements and trading plans among the possible methods. It did not set a deadline for using the authorization.
What MasTec builds
MasTec, which trades on the New York Stock Exchange under the ticker MTZ, is a North American infrastructure engineering and construction company. Its work includes building, installing, maintaining and upgrading communications networks, energy facilities and utility infrastructure.
The company describes four main business segments: Communications, covering wireless and wireline or fiber networks; Power Delivery, serving utility transmission and distribution customers; Pipeline Infrastructure, including natural-gas pipelines and distribution as well as large-load electrical infrastructure; and Clean Energy and Infrastructure, which includes renewable-energy construction, heavy civil work and other industrial projects.
For shareholders, the immediate development is a choice to prioritize repurchases over an unnamed acquisition opportunity. Whether the authorization produces actual purchases, and whether acquisition talks restart, remain separate decisions that the company has not committed to on a fixed schedule.
