Unlock Technologies announced a $433.1 million securitization backed by 4,474 home equity agreements Monday, moving another pool of homeowner-equity contracts into the institutional investment market.
The transaction, Unlock HEA Trust 2026-2, closed October 21 and was issued and sponsored by D2 Asset Management, the company said in its October 26 announcement. It is Unlock’s second securitization this year and ninth overall.
Home equity agreements give homeowners cash up front in exchange for a share of their home’s value when the agreement ends. They do not require monthly payments during the term, but that does not eliminate the eventual settlement obligation.
The deal issued $297.5 million of Class A notes, $50 million of Class B notes and $58.5 million of Class C notes. Morningstar DBRS rated those classes A (low), BBB (low) and BB (low), respectively. The first two ratings are investment grade.
Morningstar DBRS’s transaction review describes a separate measure of the collateral: approximately $416.4 million in current exercise value at the cut-off date. That figure measures the agreements’ exercise value, rather than the $433.1 million securitized amount reported by Unlock.
The rating agency said the pool contains agreements originated in 2025 and 2026, secured by first, second or third liens on residential properties. Most of the contracts are second-lien agreements.
For homeowners, the product differs from a conventional monthly-payment loan. Morningstar DBRS says homeowners retain occupancy and pay property upkeep and expenses, while the investor’s return depends on the agreement’s structure and the home’s future value, generally subject to a return cap.
Jefferies was the structuring agent and lead bookrunner on the transaction. Texas Capital Securities was a bookrunner, with Cantor Fitzgerald and Korea Investment & Securities America as co-managers.
