Zafin signed a definitive agreement to acquire Naehas on Monday, adding offer-management and marketing-compliance software to its technology business for banks and other regulated institutions.

The companies expect the transaction to close in the fourth quarter of 2026, subject to customary closing conditions and required regulatory approvals. They will continue operating independently until closing. Financial terms were not disclosed in the announcement.

Naehas provides technology that connects marketing content, disclosures, approvals and delivery for financial institutions. Its software is used to manage how offers move from development to customers while maintaining the required compliance checks.

Zafin said the acquisition would expand its existing product portfolio, which includes banking software for pricing, offers, billing and loyalty, as well as integration tools and a platform for governing AI-assisted work.

The proposed combination brings the offer-management process closer to Zafin’s product and pricing systems. Zafin described the deal as part of a broader effort to connect those functions with marketing and compliance, rather than treating them as separate technology tasks.

Zafin is headquartered in Toronto, while Naehas is based in Palo Alto, California. The October 26 announcement describes a proposed acquisition, not a completed integration or a change already in effect for bank customers.
